Terms & Conditions — Bayou Digital Technologies LLC

1. Services Provided

1.1 Bayou Digital Technologies LLC (the “Company”) offers digital services including, but not limited to:

• Website design, hosting, and management
• Google Business Profile setup and optimization
• Ongoing support and basic content updates
• Content creation (e.g., blog posts, graphics)
• Digital marketing and SEO services
• Custom technology solutions (e.g., AI agent setup)

1.2 The specific services purchased by the Client will be outlined at the time of order or subscription.

2. Payments & Billing

2.1 Services may be billed on a recurring subscription or one-time basis, depending on the service selected.

2.2 Payments are processed securely through our third-party payment processor (for example, Stripe). By providing payment information, you authorize recurring charges until canceled in accordance with Section 6.

2.3 Clients will receive an automatic receipt via email for each payment.

3. Client Responsibilities

3.1 Client agrees to provide all requested business information, branding materials, and content in a timely manner to enable service delivery.

3.2 Client is responsible for ensuring the accuracy and legality of any materials (text, images, videos, etc.) submitted for use on their website or marketing.

4. Intellectual Property

4.1 Websites, designs, and materials created by Bayou Digital Technologies LLC remain the property of the Company until all fees are paid in full.

4.2 Upon full payment, the Client receives a non-exclusive license to use the website and delivered content.

4.3 Bayou Digital Technologies LLC retains the right to display completed work in its portfolio.

5. Service Availability

5.1 Hosting and website services are provided on a best-effort basis. Occasional downtime may occur due to maintenance, third-party outages, or other factors outside of our control.

5.2 We make no guarantee of uninterrupted availability, though we strive to ensure high uptime and performance.

6. Term & Termination

6.1 This Agreement begins on the date of subscription or purchase and continues until canceled.

6.2 Either party may terminate with 30 days written notice.

6.3 Cancellation requests must be submitted in writing or via email to [insert support email].

6.4 No refunds will be provided for partial months of service.

7. Add-On Services

7.1 Add-ons purchased are subject to these Terms unless otherwise specified in a separate written agreement.

7.2 Larger or custom add-ons (for example, AI agent projects) may require an additional Service Agreement.

8. Limitation of Liability

8.1 Bayou Digital Technologies LLC is not liable for indirect, incidental, or consequential damages, including loss of revenue, arising from the use or inability to use services.

8.2 Total liability under this Agreement shall not exceed the total amount paid by Client in the three (3) months preceding the claim.

9. Dispute Resolution

9.1 Both parties agree to attempt good faith resolution of disputes before pursuing legal remedies.

9.2 Any disputes shall be governed by the laws of the State of Louisiana.
